CrownThrive LLC, a Virginia-based limited liability company (LLC), offers sweat equity compensation to key leadership roles and independent contractors. The purpose of this policy is to outline the terms, conditions, and structure of the equity compensation program to ensure compliance with applicable laws and to protect the interests of CrownThrive LLC.
This policy is governed by the laws of the Commonwealth of Virginia and is subject to amendment at the discretion of the companyβs management, in compliance with legal and regulatory requirements. All parties entering into equity agreements with CrownThrive LLC will be bound by the terms set forth herein and any related agreements, which shall be enforceable to the fullest extent of the law.

1. Terms and Compensation Structure
Leadership roles and key contributors at CrownThrive LLC may receive sweat equity in the form of membership interest in the company in lieu of, or in addition to, monetary compensation. The total available equity for all positions will not exceed 25% of the companyβs total ownership interest.
- Base Pay: Certain positions may include a minimal retainer or performance-based payments, at the companyβs discretion.
- Sweat Equity: Allocated based on the roleβs impact, level of responsibility, and time commitment to the company.
Total membership interest allocation:
- CEO: 7-10%
- COO: 5-7%
- CTO: 3-5%
- Other leadership roles (e.g., CMO, CFO): 2-4%
- Independent contractors (e.g., marketing, product development): 1-3%
Equity allocations will be outlined in individual agreements, and all members are required to sign these agreements to formalize their participation in the equity program.

2. Vesting Schedule
All membership interest granted through sweat equity is subject to a 5-year vesting schedule, designed to ensure long-term commitment to CrownThrive LLC.
- Cliff Period: No equity will vest during the first 12 months of participation (the "cliff" period). If the member leaves CrownThrive LLC before the end of this period, they forfeit all equity.
- Monthly Vesting: After the 12-month cliff period, equity will vest on a monthly basis over the remaining 4 years (48 months), with 1/48th of the total equity vesting each month.
- Full Vesting: Full vesting occurs at the end of 5 years, at which point 100% of the granted equity is vested.
Should any member voluntarily leave or be terminated for cause before the end of the vesting period, any unvested equity will be forfeited.

3. Acceleration of Vesting
In the event of a company sale, merger, or other significant transaction, CrownThrive LLC may, at its sole discretion, accelerate the vesting schedule for members with unvested equity. Acceleration of up to 50% of unvested equity may be granted under these circumstances, provided the Board of Directors approves such a decision.

4. Termination Provisions
In the case of termination of service, the following conditions apply:
- Voluntary Departure: If a member voluntarily leaves before their equity is fully vested, all unvested equity will be forfeited.
- Termination Without Cause: If a member is terminated without cause, they will retain all vested equity at the time of termination.
- Termination For Cause: If a member is terminated for cause, including but not limited to misconduct, violation of company policy, or breach of contract, all vested and unvested equity will be forfeited.
